VoteShareholder Niels Jørgen Ebbegård wanted a vote against the Chairman of the Board’s report as he was dissatisfied with the proposal for non-payment of dividend. He then criticized the Board’s proposals for possible payment of divided later in the year should times change and liquidity permit, and he urged the chairman of the meeting to start whether an extraordinary dividend would not require an extraordinary general meeting.
Replying, the chairman of the meeting said that under the Articles of Association the Board of Directors was authorized to pay an extraordinary dividend at its discretion.
Replying further, Chairman of the Board Christian Kjær said that he personally was extremely disappointed that no dividend was to be paid, but that there was no way of knowing how long the crisis would last, and it was imperative that NKT was equipped to withstand a potential long-term crisis. It was against this background that the Board wished to see how the situation developed and wait until the 3rd quarter, and then reassess the company’s financial resources.
Shareholder Poul Boeg then took the rostrum and declared himself in agreement. He applauded the Board’s proposal not to pay dividend.
Shareholder Svend Aage Nielsen next took the rostrum. He said that the lack of dividend would merely be reflected in a higher share price and that the non-payment of dividend would therefore not have significance for the individual shareholder.
However, Niels Jørgen Ebbegaard reiterated his wish for a written vote. The chairman of the meeting then instituted a written vote on Item 4 on the agenda concerning appropriation of profit for the year. After the votes had been counted he could announce that the vote regarding the Board’s proposal on Item 4 on the agenda concerning appropriation of profit for the year had been adopted
